Note: This is an interim document for launch and product communication. It is not final legal advice and should be reviewed by counsel before relying on it for production contracts, financing, or regulated use cases.
1. Agreement
These Terms are an agreement between you and Cybersmith International LLC (“Cybersmith”), the company that owns and operates Legwerk.
By accessing thelegwerk.com, creating an account, or using Legwerk software or related services (the “Service”), you agree to these Terms and Conditions (“Terms”). If you are using the Service on behalf of a company or organization, you represent that you have authority to bind that organization, and “you” includes that organization.
If you do not agree, do not use the Service.
2. What Legwerk is
Legwerk is a business relationship platform. It helps organizations:
- discover local and relevant relationship opportunities;
- organize outreach and conversations;
- track progress toward a “yes” (meeting, introduction, partnership, referral, or similar agreement); and
- connect tools such as email so outreach can be sent and relationship replies can be reviewed in context.
Legwerk is not a substitute for legal, financial, marketing, sales, or professional advice. We open the door to conversations. We do not close sales for you, and we do not guarantee introductions, partnerships, revenue, or outcomes.
3. Accounts and access
You must provide accurate account information and keep login credentials secure. You are responsible for activity under your account.
If you invite team members or agency users to work inside a client workspace, you are responsible for what those users do in that workspace.
We may suspend or terminate access if we believe these Terms, the Acceptable Use Policy, or applicable law have been violated, or if use creates risk to Cybersmith, Legwerk, other customers, or third parties.
4. Your content and your relationships
You retain ownership of content you upload or create in the Service (messages, notes, prospect lists, branding assets, and similar materials) (“Customer Content”).
You grant Cybersmith International LLC a limited license to host, process, transmit, and display Customer Content solely to operate and improve the Service for you.
You are solely responsible for:
- the accuracy of prospect and contact data you use;
- the content of outreach messages;
- compliance with CAN-SPAM, TCPA, GDPR/CCPA (where applicable), and other marketing / privacy laws;
- any relationship you start, continue, or close with a third party.
Important: A “yes” tracked in Legwerk does not create an obligation for the other party. Introductions and agreements live in the real relationship, not in our software alone.
5. Connected email and third-party services
If you connect Gmail or another email provider, you authorize Cybersmith International LLC (operating Legwerk) to send mail and, where enabled, read relevant mailbox data needed for reply and relationship status features, subject to that provider’s terms and Google’s API Services User Data Policy (or equivalent).
You can disconnect email access at any time through the Service or the provider. Disconnecting may limit features that depend on that connection.
We do not sell the contents of your connected mailbox.
6. Acceptable use
Your use of the Service must also comply with our Acceptable Use Policy. Violation of that policy is a violation of these Terms.
7. Fees (when applicable)
If paid plans are offered, pricing, billing periods, and cancellation terms will be shown at purchase. Unless stated otherwise, fees are non-refundable except where required by law.
We may change pricing with notice for future billing periods.
8. Intellectual property
Legwerk software, branding, copy, designs, and documentation are owned by Cybersmith International LLC or its licensors. These Terms do not transfer ownership of our IP to you.
You may not copy, reverse engineer, resell, or misuse the Service except as allowed by law or written permission.
9. Confidentiality
Each party should treat non-public information learned through the Service with reasonable care. Customer Content and prospect strategy are confidential to you. Legwerk product internals, non-public roadmaps, and account credentials are confidential to Cybersmith.
10. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, CYBERSMITH INTERNATIONAL LLC DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or that discovery results, scores, or relationship insights will be complete or accurate.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CYBERSMITH INTERNATIONAL LLC WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR LOST BUSINESS OPPORTUNITIES.
OUR TOTAL LIABILITY FOR CLAIMS ARISING OUT OF THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO CYBERSMITH INTERNATIONAL LLC FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM (OR USD $100 IF YOU HAVE NOT PAID).
Some jurisdictions do not allow certain limitations; in those places, our liability is limited to the fullest extent allowed.
12. Indemnity
You will defend and indemnify Cybersmith International LLC against claims arising from your Customer Content, your outreach, your prospect lists, your misuse of the Service, or your violation of law or these Terms.
13. Termination
You may stop using the Service at any time. We may suspend or end access for Terms violations, non-payment, or operational risk.
On termination, your right to access the Service ends. We may delete or retain Customer Content as described in our privacy practices and as needed for legal, security, or backup purposes.
14. Changes
We may update these Terms. Material changes will be posted on this page with an updated date. Continued use after changes means you accept the updated Terms.
15. Governing law
These Terms are governed by the laws of the United States and the State of New Jersey, without regard to conflict-of-law rules, unless a mandatory local law says otherwise. Courts in New Jersey will have exclusive jurisdiction, except where prohibited.
